Delays caused by incomplete information, missing approvals, unavailable products, or other Client dependencies may affect the delivery schedule. 3.5. Any extension, renewal, or change in the service period must be confirmed in writing by both parties. ### 4. Fees and Payment Terms 4.1. The Client agrees to pay the fees stated in the approved proposal or invoice. 4.2. Unless otherwise agreed in writing, services will be billed monthly in advance. 4.3. The Agency may require an advance payment before beginning work. The applicable amount and payment schedule will be stated in the proposal. 4.4. Payments must be made by the due date specified in the invoice. 4.5. Fees are exclusive of applicable taxes unless expressly stated otherwise. GST and other applicable taxes will be charged in accordance with Indian law. 4.6. Third-party expenses, including advertising budgets, influencer fees, travel, production expenses, props, location rentals, stock assets, and software subscriptions, are payable separately unless included in the package. 4.7. Inform the Agency promptly of changes in business information, offers, pricing, campaigns, or other matters affecting published content. 5.8. Ensure that the products and services being promoted comply with applicable laws and platform policies. The Agency will not be responsible for delays or losses directly arising from inaccurate information, delayed approvals, inaccessible accounts, or other Client-side failures. ### 6. Content Creation, Reels, and Deliverables 6.1. The Agency will create content according to the approved brief, package, brand direction, and agreed content calendar. 6.2. The agreed package will specify the number and type of deliverables, such as static posts, carousels, Reels, stories, and captions. 6.3. The Client must provide product samples, raw footage, photographs, scripts, talent, locations, or other production requirements where these are the Client's responsibility under the proposal. 6.4. The Agency may use its professional judgment regarding creative direction, design, editing, and formatting while following the approved brief. 6.6. The Agency will not guarantee that any particular post or Reel will achieve a specific number of views, followers, leads, sales, shares, or engagement. 6.7. Deliverables will be considered completed when supplied to the Client or published on the agreed platform, as applicable to the scope of work. ### 7. Revisions and Content Approval 7.1. The number of included revisions will be specified in the proposal. Unless otherwise stated, each deliverable includes up to two reasonable rounds of revisions. 7.2. A revision means a reasonable adjustment to an existing deliverable within the approved brief, such as correcting text, adjusting colours, or modifying a caption. 7.3. A complete change in concept, creative direction, script, or approved brief may be treated as additional work and quoted separately. 7.4. The Client must provide consolidated and clear feedback through the agreed communication channel. 7.5. The Agency may set a standard approval period of two business days, unless another period is agreed in writing. 7.6. If the Client does not provide feedback within the agreed period, the delivery schedule may be adjusted accordingly. Silence will not automatically constitute approval for publication unless the parties expressly agree to such a process in writing. 7.7. The Agency will not be responsible for errors in content that the Client has approved, except where the Agency is independently responsible for a subsequent error or a correction is required by law. 7.8. Revisions requested after final approval or publication may be charged separately, particularly where they require redesign, re-editing, reshooting, or reposting. ### 8. Publishing and Social Media Management 8.1. The Agency will schedule or publish content on the platforms expressly included in the agreed package. 8.2. Publishing dates are subject to timely content approvals, account access, platform availability, and receipt of required materials. 8.3. The Agency will make reasonable efforts to follow the approved content calendar but does not guarantee uninterrupted publishing or platform availability. 8.4. Unless specifically included, daily community management, customer support, direct-message handling, sales enquiries, lead qualification, and round-the-clock monitoring are excluded. 8.5. The Client remains responsible for business decisions, order fulfilment, product delivery, refunds, customer disputes, and the accuracy of commercial offers. 8.6. The Client must not share account passwords through unsecured channels. Where possible, access should be provided through official role-based permissions and business management tools. 8.7. The Client retains ownership and administrative control of its social media accounts. ### 9. Social Media Platforms and Third-Party Policies 9.1. The Agency will make reasonable efforts to follow applicable platform policies and advertising guidelines. 9.2. The Client acknowledges that platforms such as Instagram, Facebook, YouTube, and LinkedIn may independently modify their algorithms, features, terms, reach, and content restrictions. 9.3. The Agency is not responsible for platform outages, algorithm changes, account suspensions, policy changes, or technical failures outside its reasonable control. 9.4. The Agency does not guarantee verification badges, account restoration, viral reach, organic growth, or approval of platform advertisements. 9.5. Where a restriction results from the Client's conduct, supplied materials, or business practices, the Client remains responsible for addressing the underlying issue. 9.6. If an issue is caused by the Agency's own actions, the parties will cooperate reasonably to address it. ### 10. Brand Reputation and Public Communication 10.1. The Agency will exercise reasonable professional care when creating and publishing brand communications within the agreed scope. 10.2. The Agency may advise the Client on handling negative comments, public criticism, or online reputation concerns. 10.3. Unless specifically included, formal crisis communications, legal responses, media relations, influencer outreach, and round-the-clock reputation monitoring are not part of standard social media management. 10.4. The Agency will not publish material statements, apologies, admissions of liability, or sensitive crisis communications on behalf of the Client without appropriate authorization. 10.5. The Client must promptly inform the Agency of material complaints, legal notices, product safety concerns, or other issues that may affect published content. 10.6. Neither party may knowingly publish false, misleading, defamatory, or unlawful statements about the other. ### 11. Intellectual Property and Ownership 11.1. The Client retains ownership of its pre-existing trademarks, logos, photographs, videos, brand assets, business information, and other materials supplied to the Agency. 11.2. Subject to full payment of all applicable fees, the Client will receive the agreed usage rights or ownership rights in the final deliverables, as specified in the proposal. 11.3. Unless the proposal expressly provides otherwise, editable source files, raw footage, project files, working files, templates, and unused concepts are excluded from the standard deliverables. 11.4. Third-party fonts, stock photographs, music, templates, and other licensed assets remain subject to their respective licence terms. The Client may not receive exclusive ownership of these assets. 11.5. The Client warrants that it has the necessary rights and permissions to use any materials supplied to the Agency. 11.6. The Agency may use its pre-existing methods, know-how, general workflows, and reusable tools in other projects, provided it does not improperly disclose the Client's confidential information. 11.7. The Agency may display published work in its portfolio, website, and professional presentations only to the extent permitted by the parties' agreement and applicable confidentiality obligations. If the Client requires confidentiality or prohibits portfolio use, this must be agreed in writing. ### 12. Confidentiality and Data Protection 12.1. Both parties agree to keep confidential any non-public business information, financial information, login credentials, marketing plans, customer information, and other confidential materials received during the engagement. 12.2. Confidential information may be used only for purposes connected with the agreed services. 12.3. Neither party may disclose confidential information to an unauthorized third party, except where disclosure is required by law or reasonably necessary to perform the agreed services under appropriate confidentiality safeguards. 12.4. The Agency will take reasonable steps to protect account access and confidential materials within its control. 12.5. The Client should use secure account permissions and promptly revoke access that is no longer required. 12.6. Each party will comply with applicable data protection and privacy laws to the extent relevant to its activities. 12.7. Confidentiality obligations will continue after the agreement ends for as long as the information remains protected under the agreement or applicable law. ### 13. Advertising, Influencers, and Additional Expenses 13.1. Paid advertising, influencer marketing, creator collaborations, sponsored content, and media buying are included only where specifically stated in the approved proposal. 13.2. Advertising budgets and third-party charges must be approved by the Client before expenditure is incurred. 13.3. Unless otherwise agreed, advertising spend will be paid directly by the Client to the relevant platform. 13.4. The Agency will not commit the Client to influencer contracts, purchases, or other third-party expenditure without appropriate authorization. 13.5. Influencer availability, creator performance, audience response, media acceptance, and advertising approvals cannot be guaranteed. 13.6. Sponsored content and endorsements must comply with applicable disclosure requirements and platform policies. 13.7. Any additional services requested outside the agreed scope will be quoted separately and undertaken after written approval. ### 14. Reporting and Performance Measurement 14.1. Reporting frequency and metrics will be specified in the agreed package. 14.2. Reports may include available metrics such as reach, impressions, views, engagement, follower growth, and other relevant platform analytics. 14.3. The Agency will use available data to evaluate content performance and recommend reasonable improvements. 14.4. Platform metrics may change, be delayed, or be unavailable because of third-party reporting limitations. 14.5. The Agency does not guarantee specific business outcomes, including revenue, leads, conversions, audience growth, or return on investment. 14.6. Any targets agreed by the parties will be treated as performance objectives rather than guaranteed outcomes unless expressly stated otherwise in a separate written agreement. ### 15. Limitation of Responsibility 15.1. The Agency will perform its services with reasonable professional care and skill. 15.2. The Agency will not be responsible for indirect or consequential losses, loss of anticipated profits, or loss of business opportunities to the extent permitted by applicable law. 15.3. The Agency will not be liable for losses caused by inaccurate Client-supplied information, unauthorized Client instructions, third-party platform failures, or events beyond its reasonable control, except to the extent caused by the Agency's own breach or negligence. 15.4. Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law. 15.5. Any agreed financial cap on liability must be expressly stated in the signed agreement and should be reviewed for enforceability under Indian law. 15.6. Neither party will be responsible for a failure to perform obligations where performance is prevented by circumstances beyond its reasonable control, subject to applicable law and the parties' duty to mitigate the effects. ### 16. Termination and Cancellation 16.1. Either party may terminate the agreement by providing 30 days' written notice, unless a different notice period is specified in the proposal. 16.2. The parties may agree to a fixed-term commitment or a different cancellation policy in writing. 16.3. If either party materially breaches the agreement, the other party may provide written notice describing the breach and a reasonable opportunity to remedy it. If the breach is not remedied within the stated period, the non-breaching party may terminate the agreement, subject to applicable law. 16.4. The Agency may suspend services after written notice if payments remain overdue, required account access is withdrawn, or continued performance would create a material legal or security risk. 16.5. On termination, the Client must pay all undisputed fees for services performed, approved expenses, and other amounts properly due under the agreement. 16.6. Any advance payment relating to services not yet performed will be handled according to the agreed cancellation and refund policy, subject to applicable law. Charges for work already completed and approved non-cancellable third-party expenses may be deducted where contractually justified. 16.7. The Agency will provide the Client with its completed, paid-for deliverables in accordance with the agreed handover terms. 16.8. Account access held by the Agency will be returned, transferred, or revoked as appropriate after termination, subject to outstanding security concerns and applicable law. 16.9. Clauses relating to confidentiality, intellectual property, outstanding payments, liability, and dispute resolution will survive termination to the extent necessary. ### 17. Refund Policy 17.1. Fees for services already performed are generally non-refundable, subject to applicable law and the agreed scope of work. 17.2. Refunds or credits for undelivered services will be determined in accordance with the written agreement and applicable law. 17.3. Where a Client cancels a project after work has commenced, the Agency may charge for completed work, work in progress where reasonably measurable, and approved non-recoverable expenses, as provided in the agreement. 17.4. No refund will be denied where the Client is legally entitled to one. 17.5. Any specific advance-payment, minimum-commitment, or cancellation fee must be clearly disclosed and agreed before the Client makes payment. ### 18. Non-Solicitation and Professional Conduct 18.1. Both parties agree to maintain professional communication and act in good faith throughout the engagement. 18.2. Neither party may knowingly misuse the other party's confidential information to solicit its employees or contractors in breach of a separate, valid written agreement. 18.3. Any non-solicitation restriction must be reasonable in scope and duration and comply with applicable Indian law. Nothing in this clause restricts lawful employment or business activities beyond what the law permits. 18.4. Neither party may represent that the other has approved a statement, campaign, or commitment without proper authorization. ### 19. Dispute Resolution and Governing Law 19.1. The parties will first attempt to resolve disputes through good-faith discussions between their authorized representatives. 19.2. If the dispute remains unresolved, the parties may attempt mediation or another mutually agreed dispute-resolution process. 19.3. The agreement will be governed by the laws of India. 19.4. The courts having jurisdiction will be determined in accordance with applicable Indian law and any valid written agreement between the parties. 19.5. If the parties agree to arbitration, the arbitration clause, including the seat, procedure, and appointment of the arbitrator, must be set out clearly in the signed agreement and comply with applicable law. ### 20. Amendments and Entire Agreement 20.1. These Terms & Conditions, together with the approved proposal, quotation, and any signed service agreement, constitute the agreement between the parties concerning the services. 20.2. Any changes to service scope, fees, deliverables, timelines, or other material terms must be recorded in writing and approved by both parties. 20.3. In the event of a conflict, the signed service agreement or the specific terms of the approved proposal will prevail over these general terms to the extent expressly stated. 20.4. If any provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law. 20.5. A failure to enforce a provision immediately does not automatically waive the right to enforce it later. 20.6. Electronic acceptance and electronic signatures may be used where legally valid. ### 21.
